CONSTITUTION
1
Name
The name of the
organisation is THE WARSOP INFOTECH GROUP - ("the Group")

Administration
Subject to the
matters set out below the group and its property shall be administered
and managed in accordance with this constitution by the members of
the committee, constituted by clause 7B of this constitution.

Objects
The Group's objects
are:
To identify appropriate
IT/business training programmes and assist individuals in personal
development, through operating a self-help/support initiative for
members, thereby enhancing newly developed skills to further opportunities,
whilst looking at using these skills to aid other voluntary groups
in Warsop and District.

Powers
In furtherance
of the objects but not otherwise the committee may exercise the following
powers:
a)
powers to raise funds and to invite and receive contributions
provided that in raising funds the committee shall conform to any
relevant requirements of the law.
b)
power to buy any necessary property necessary for the achievement
of the objects and to maintain and equip it for use.
c)
power to co-operate with other organisations, voluntary bodies
and statutory authorities operating in the furtherance of the objects
or of similar purposes and to exchange information and advice with
them.
d)
power to do all such lawful things as are necessary for the
achievement of the objects.

Membership
a)
Members:
Membership of
the group shall be open for any person over eighteen years of age
who supports the objects of the group.
b)
Subscription:
The amount and
date or dates of payment of members' and affiliated organisations'
subscriptions shall be set by the Annual General Meeting.
The committee
may waive the subscription of any or all members if it sees fit.
c)
Cessation of Membership:
i)
The membership of any member shall cease on his or her death or
on his or her ceasing to reside in the United Kingdom or on his
or her membership being terminated in accordance with the next sub-paragraph.
ii) The committee
may terminate the membership of any member whose conduct the committee
consider to be detrimental to the group provided:-
a)
that an attempt has been made by the committee to draw
the matter of the complaint to the member concerned and to resolve
any dispute by conciliation, and
b) that the member
concerned shall have been given at least one week's notice of
the meeting at which the question of his or her expulsion is to
be discussed together with details of the allegations and opportunity
to be heard by the committee.

Meetings
a)
Annual General Meeting:
The group shall
hold an Annual General Meeting at least once every year in the month
of June or as soon as practical thereafter. The business of the Annual
General Meeting shall be; the consideration of accounts of the group
and the committee's report, the election of members of the committee,
the fixing of subscriptions, the appointment of auditors and any other
business of which proper notice shall have been given.
b)
Notice of Annual General Meeting:
Notice of Annual
General Meetings shall be given by announcing the same to a group
meeting at least 21 days before the date of the meeting, also at subsequent
meetings until the Annual General Meeting takes place. Such announcements
shall specify the time and place of the meeting and the business proposed
to be transacted, at the meeting.
c)
A General Meeting:
A General Meeting
shall be convened either by the committee or on the written request
of not less than 25% of the membership, such requests should specify
the business proposed to be transacted at the meeting.
d)
Chairperson:
The Chairperson
of the group shall preside at General Meetings and, in his or her
absence, the members present may choose one of their number to preside
at that meeting.
e)
Procedure at General Meetings:
Subject to this
constitution the procedure at General Meetings shall be determined
by the members in General Meetings.
f)
Quorum:
The quorum at
any Annual General Meeting or General Meetings shall be 12 members
of the group. If a quorum is not present within one hour of the time
set for the meeting, the meeting shall be deemed "inquorate"
and adjourned to such time and place as shall be determined by the
committee, the committee giving such notice of such adjournment as
it thinks fit.

Committee
a)
Functions:
The affairs of
the group shall be managed by a committee (herein referred to as "the
Committee") which may exercise all powers of the group and do
on behalf of the group all such things as are not by this constitution
required to be done by the group in a General Meeting.
b)
Composition:
The Committee
shall consist of the following persons who shall be elected at the
Annual General Meeting: a Chairperson, a Secretary, a Treasurer and
4 other members of the group, from whom the offices of Vice-Chair
and Minuting Secretary will be appointed as necessary. Committee members
shall hold office from the end of the Annual General Meeting at which
they are elected until the end of the next Annual General Meeting
and shall be eligable for re-election.
c)
Co-options:
The Committee
may co-opt up to three additional person, whether members of the group
or not. Co-opted members may attend and speak, but may not vote at
Committee Meetings.
d)
Meetings:
The Committee
shall meet at least twice in each year between Annual General Meetings.
The quorum at Committee meetings shall be 4 elected members present
at the start of the meeting and no business may be transacted at the
meeting of the Committee if less than two thirds of the elected members
are present.
e)
Chairperson:
The Chairperson
of the group shall preside at Committee meetings and in his or her
absence the elected Committee members present shall choose one of
their number to preside.
f)
Non-Attendance at Committee Meetings:
Any member of
the Committee who fails to attend 2 consecutive Committee meetings
shall cease to be a member of the Committee unless he or she gives
a reason which is, in the opinion of the Committee, satisfactory.
g)
Procedure at Committee Meetings:
Subject to this
Constitution the procedure at Committee meetings shall be determined
by the Committee.

Register
The secretary
shall keep a register showing the names and addresses of the members
of the group and, on being notified in writing of any change, shall
alter the register accordingly.

Notice
Any notice required
by the constitution to be given to any person may be given by posting
the same in a pre-pain letter to the registered address of that person.

Accounts
The Treasurer
shall cause proper accounts to be kept showing sums of money received
and spent by the group, sales and purchases of goods by the group
and the assets and liabilities of the group. The accounts shall be
examined at least once in every year and presented to the Annual General
Meeting of the group.

Change of Constitution
The provisions
of this constitution may be changed by a resolution at a General Meeting
by a majority of not less than two thirds of those present and voting
thereon.

Winding Up
The group may
be wound up by a resolution passed at a General Meeting by a majority
of not less than two thirds of those present and voting thereon. Any
assets remaining after satisfaction of all debts and liabilities shall
not be distributed amongst the members of the group but shall be given
of transferred to some other charitable organisation or organisations
having similar objects.

A membership fee
of £2 shall be set as of 1 July 1996, to run for a period of
one year from payment - Proposal adopted by unanimous vote at AGM
17/6/96, and amended at AGM 30/6/97. Amendments to Clauses 5a, 6f
& 10 adopted by unanimous vote at AGM 06/09/07.
